AIG Pay Madness Needs a Stop From Geithner: Roger Lowenstein

March 17 (Bloomberg) -- Treasury Secretary Timothy Geithner is unhappy that American International Group Inc. is paying tens of millions in bonus payments to some of its traders.
So why doesn’t he forbid them?
The company says it’s afraid of being sued. But contrary to what lawyers and legalistic bureaucrats will tell you, there are worse things than lawsuits. Stiffing taxpayers to pay gluttonous derivatives traders -- and in the midst of an economic crisis -- is among them. To judge by his recent comments, even President Barack Obama is looking for a way to cancel the bonuses. Besides, this is a lawsuit the government just might win.
AIG is doling out $165 million to traders in the very group that caused the company to fail. The payments are part of a $450 million bonus pool that AIG agreed to early last year, when it was beginning to take on water, and when it feared that high- flying traders would jump ship.
Since then, AIG has been bailed out four times by the federal government. The taxpayers have provided AIG with $173 billion in investment and loans. That’s enough money to run the entire state of New Jersey for six years.
Although other companies have gone on the federal dole, of all the government’s corporate stepchildren, AIG is making the least progress.
Citigroup Inc., which got three bailouts, at least operated at a profit during January and February, according to its chief executive officer, Vikram Pandit. Morgan Stanley, which got a bank charter last September, is off the critical list. But the news at AIG keeps getting worse.
Worst Outrage
Ben Bernanke, the normally even-tempered Federal Reserve chairman, has said he is fuming over the way the regulated insurer used its high-rated balance sheet to run a hedge fund- type operation that helped to derail Wall Street. Lawrence Summers, the president’s top economic aide, says of all the outrages, AIG is the worst.
So why is the government allowing AIG to use its taxpayer lifeline to pay seven-figure bonuses? Seven employees will get at least $3 million and one will get $6.5 million. What kind of company pays such bonuses for a year in which it lost $99 billion -- the biggest loss ever by a U.S. corporation?
My inner jester says, “Maybe they got the sign wrong,” that is, maybe the employees will be paying back the company?
No such luck. Edward Liddy, AIG’s CEO, says he reviewed the bonus agreement, and the contracts are airtight. Liddy says the bonuses are “distasteful,” but if he doesn’t pay them, he can’t retain “the best and the brightest talent.”
Say Goodbye
In that case, he should let that “talent” go. All it has done is lose the taxpayers oceans of money. It’s time to consider folding the non-insurance part of AIG for good.
Liddy, though, works for Geithner. The U.S. government owns almost 80 percent of AIG’s stock. Assuming the checks haven’t been cashed yet, here is what Geithner should say to Liddy: “Sorry, Ed. We’ll keep track of what we promised, and maybe in a couple or three years, if AIG is earning money, and a pool exists (outside of taxpayer funds) to pay bonuses, then OK.”
If its traders end up suing to get their full bonuses, the company (and the government) could claim that the promised bonuses were a “fraudulent conveyance.” This defense is usually employed in bankruptcy cases. Under the theory of fraudulent conveyance, it is illegal to transfer assets that are needed to pay creditors. So, if the owners of a highly leveraged company give themselves a big dividend, leaving the corporation unable to service its debts, the creditors can sue to reclaim the funds.
Dire Situation
True, AIG wasn’t insolvent when the bonuses were negotiated. But it could argue that it was facing such a dire situation that it didn’t have the money it agreed to pay. Thus, the promised bonuses exposed its creditors to potential loss.
The U.S. government, which loaned the company billions of dollars, might claim this invalidates the contracts. Granted, this would be a tough case. And contracts shouldn’t be breached lightly.
This is why it would be much smarter, on all sides, to renegotiate the bonuses. Pay a very modest portion now and give the employees a chit for the rest to be redeemed later. Employees who are unhappy with such a compromise can take it to a judge. AIG then would have the option of filing for bankruptcy, rupturing the contracts, and putting an end to the derivatives business for good.
Gone Too Far
Geithner & Co. never should have allowed it to get this far. When the government agreed to the first rescue, in September, the U.S. could have demanded a waiver of bonuses as a condition. That rescue was enacted under incredible time pressure. But Henry Paulson, Treasury secretary then, did take the time to insist on the resignation of Robert Willumstad, AIG’s top executive, while denying him any golden parachute. Willumstad, who recognized that the situation was larger than himself, had the grace to agree.
It will be interesting to see if the million-dollar traders have the same sense of perspective. Of course, the only way to overhaul corporate pay, and to end such outrages, is to regulate bonuses before they are agreed upon. One remedy I have proposed would require big bonuses to get prior shareholder approval.
Now read about Ronald Logue, the CEO of State Street Corp. He received total pay of $28.7 million in 2008. The company’s stock fell 51 percent last year and his bank took $2 billion in federal bailout money. This year, the stock is down 36 percent.

Made in Japan
新聞報導指出他從小家教甚嚴，父親常常打他，逼迫他讀書，縱然內心抗拒卻也把書讀好，只是常常有尋短念頭，逃家、吸毒、偷竊等是家常便飯，或許這次尋短就如其他A片女星從小患有憂鬱症是一樣關係。
這不得不說回到日本的社會跟家庭，在日本家中媽媽多半是帶小孩、做家事打點大小事情，先生而則是早上與小孩一起吃早餐（家裡平日唯一的聚餐）然後搭著電車搖個一兩個小時上班去，加班後跟同事或自己去吃個飯喝一杯在搖搖晃晃拖著疲憊的身體回到家，可能都十點半十一點以後了，這時候小一點的小孩可能已經就寢，大一點的小孩才準備要回家，與父親等互動更是少的可憐，若晚上會有互動多數是因為考試成績不好，被由床上活活拖起來臭罵一頓，小孩看不起大人、大人覺得小孩不夠好。狹小的生活空間、制式機械化的人際互動、生活壓力、學業壓力、不善於表達跟壓抑的民族性格、缺乏關愛，逐漸侵蝕著許多小孩、年輕人的內心世界，埋下了一個定時炸彈。

The Triple-8
We have "triple-8" hours a day. Bill Gates, Jack Welch, Zig Ziglar, you and I, we all have "triple-8" hours a day.
We work 8 hours. We rest 8 hours. Mathematically we still have remaining 8 hours for a day. Zig Ziglar says, "What you do off the job is the determining factor in how far you will go on the job."
If we are going to get ahead in job, our activities and preparation off the job will be the determining factors. Most people have no idea of the giant capacity we can immediately command, when we focus all our resources on mastering a single area of our job. Controlled focus is like a laser beam that can cut through anything that seems to be holding us.
We must realize that this temporary recession is the best opportunity that we'll every had. So, deal with the things that we'd rather not to deal with: fear to fail, fear of rejection, procrastination.
I personally feel, hard work is about "throwing our hearts over the fence, and the bodies will follow." ~Dr. Norman Vincent Peale

You might be wondering what am I trying to say. As a matter of fact, I am just trying to elaborate, even Kung-Fu, we have many differences; not to mention sales.

You can't just compare door-to-door hardcore sales to corporate sales. That's absolutely different. I beg to differ for the followings:
Firstly, redemption of insurance plan(s) through point-system (i.e bonus link, credit cards, etc). Rationale? It is totally against the principles of selling insurance. Insurance industry is suppose to be human touch, honestly, integrity and trust, residual incomes, build on helping people live better lifes. Make sense?
Secondly, we are in Voluntary "Employee" Benefits program. We are not in Voluntary "Student" Benefits program. Imagine, Universities endorse the program, allowing us to sell insurance to their students? Kindly silly right?
Thirdly, corporate sales involve preparation of proposals extensively. Of course it is well understood that a door-to-door sales persons can spend their entire day out-of-office, but corporate sales consultants don't.
Lastly, it is absolutely crazy to hear that academic qualifications are not important in corporate sales. Then, why might you as well hire a language (English) iliterate and computer idiot to do the work?

Dad's Footprints
One night a girl had a dream. She dreamed she was walking along the beach with her Dad. Across the sky flashed scenes from her life. For each scene, she noticed two sets of footprints in the sand, One belonging to her, and the other to her Dad.When the last scene of her life flashed before her, she looked back at the footprints in the sand. She noticed that many times along the path of her life There was only one set of footprints. She also noticed that it happened At the very lowest and saddest times in her life.
This really bothered her And she questioned her Dad about it. "Dad, You said that once I am your child, You'd walk with me all the way. But I have noticed that During the most troublesome times in my life, There is only one set of footprints.
I don't understand why when I needed You most you would leave me." The Dad replied, "My precious, precious child, I love you and I would never leave you. During your times of trial and suffering, When you see only one set of footprints, It was then that I carried you."

Life's A Bitch If You Let It Be
Have you ever asked someone what they had for lunch and they, roll their eyes and say something like, “I had Chicken Rice AGAIN.” And when you say to them if they don’t like it, why not have something else, they reply, “I don’t have a choice.” This is a load of rubbish – and believe me I’ve heard plenty of #$%^ speak in my lifetime.
Of course you have a choice!
You can decide to wake up a little earlier and make yourself a sandwich for one – or look for other places to try out. You can decide to make life simple, or choose to bitch about every single thing that comes your way. If things are not going well for you, grow a backbone and stop slithering about in self-pity. Pick yourself up and move forward.
Bad break in appointments? Stop all the crying and wallowing. Tell yourself you’re going to get really successful and win next company back – provided they’re worth the work you’ll be putting in. Otherwise, get successful for yourself. After all, success is the best revenge.
If your job is bringing you down, look for something else that you really want to do. Yes, it’s really that simple. Get out of your comfort zone. Change for the better is never easy – you need to challenge yourself and go through some rough patches in order for you to really appreciate all the good that is in your life. Once that happens, you’ll bitch less and be a nicer person to yourself and those around you.

Today Arsenal drawn but Taufik Hidayat won his Mecau Open 2008. Bad and Good news. As for me, I was drawn mad by a villain who never learn.
Another identical miniature act, whispering and go on with some annoying talking makes the entire world turns crazy. That is absolutely nuts and highly uneducated. How I wish I slap that miniature like the way Shrek kicks the donkey's butt..

Attitude Determines Everything
You don't deserve the respect. Even though you have the capabilities, skills and all winning factors, but if you are sloppy, you deserve sloppy result.That is why you deserve criticisms, condamnations and please take these words seriously. Greater power comes greater responsibilities. You can't just take things lightly, because you are in a reputable team.

The Art of Dealing with People
I admire Aristotle. He inspires me most of the time; not because of his words only, but also his life and his struggles. These are the 5 ultimate tips I have learnt while dealing with people:
1) Never ever ever never jump to conclusion of anything. Remember, everything has its own pros and cons. It is only how you deal with it.
2) Never ever ever never think negative. This is because you are shape by your thought. If you think negative, things automatically turn into negative.
3) Never ever ever never put people down. Always remember, what goes around; comes around. You expect people to treat you nicely? Start treating people nicely first.
4) Never ever ever never be influenced by the environment. No matter how bad the scenario is, do something about it. Change the things that you cannot accept; accept things that you cannot change.
5) Never ever ever never play around with other people's ego. I guarantee you that it will turn into a catastrophe.
Now, you might be asking.. "Oh yeah, seems like you are so great huh?" By all mean, nobody is perfect (except JESUS); but by principle I am right. It is just your ego which kicks in.

a journey back to MIRI
i was born in miri 31 years ago. spent most of my childhood, of course with sweet memories, there. i left MIRI for higher education in 1996. till date, i have not witness much progresses here not to mention development.
what am i trying to say? you may ask. look, let me tell you why:
our state government has been in position for too long. is there a problem? aye! you bet! nowadays, other than oil production industry, some constructions projects, retailing business; in fact there is really nothing much to offer.
that is part and parcel of the reasons why, those younger generation kids never come back for employment. now, dont get me wrong, i am always passionate about my home town. i love the city. i have constantly looking for job opportunities here, but fail to deliver any promising one thus far.
look, i personally always emphasize on positive thinking. hence, i am here to give some humblesuggestion.
i believe everybody knows about the by-election. if it ends up with a clean sweep by pakatan rakyat, i strongly believe there are a thousand reasons why our state government should consider a move over then..
what am i trying to say? you may ask. look, let me tell you why:
